Prior to joining Farallon Law Corporation, Jolene spent two years at a local law firm where she was involved in various contentious and non-contentious matters across a range of practice areas such as building and construction, insolvency, intellectual property, finance, contract and tort, including general corporate work.

Jolene is actively involved in civil and commercial litigation, arbitration and mediation. She currently acts for and advises local and foreign individuals and corporate clients in various contentious matters including contractual disputes, shareholder disputes and employment disputes. As part of her practice, she also carries out some advisory work in relation to company and probate matters.

Jolene is fluent in English and Mandarin, and understands conversational Japanese.

Experience

Dispute Resolution Experience

Some of the dispute resolution work Jolene has been involved in includes:

  • Representing a Singaporean individual in a SIAC arbitration against one of Singapore’s IRs in defence of claims for breach of employment obligations. Dispute governed by Singapore law.
  • Representing a Singapore company and Singapore individuals in three concurrent SIAC arbitrations against a Singapore company in defence of claims for misrepresentation, breach of contract and breach of employment obligations, including resisting consolidation of the said three arbitrations. Dispute governed by Singapore law.
  • Assisting counsel in representing a foreign telecommunications company in a SIAC arbitration against a Singapore company for claims of breach of a joint venture agreement and minority oppression in relation to the construction of telecommunications infrastructure in a Southeast Asian country. Dispute governed by Singapore law.
  • Assisting counsel in representing a Singapore company in a SIAC arbitration against one of Singapore’s largest main contractors in defence of claims for defective work and clawback. Dispute governed by Singapore law.
  • Assisting counsel in representing a Singapore trading company in a Law Society of Singapore arbitration against the Singapore branch of a multinational professional services firm for breach of contract and negligence. Dispute governed by Singapore law.
  • Representing and advising a Dubai company in resisting an application for stay of court proceedings in favour of arbitration under the auspices of the Law Society of Singapore (governed by Singapore law) and ICC (governed by English law).
  • Representing Taiwanese individuals in an application to stay a Singapore lawsuit in favour of commencing proceedings in Taiwan, and alternatively to set aside service of process on the basis of defective service.
  • Representing a Singapore company in resisting a summary judgment application which concerned an agreement for payment in excess of USD 2.5 million.
  • Representing a New York company in a claim against a Singapore company for defaulting on loan repayments in excess of USD520,000, and advising on consequential enforcement proceedings in Germany in respect of property in excess of USD 3 million.
  • Representing a Singapore company and Singaporean individual in defence of claims for constructive trust, unjust enrichment and unconscionability, in respect of an oral business agreement to carry out investments in excess of SGD 1.2 million.
  • Advising a minority shareholder of a Singapore company in a claim for minority oppression under Section 216 of the Companies Act and/or a statutory derivative action under Section 216A of the Companies Act, in respect of company transactions in excess of USD 1.8 million.
  • Defending an individual in respect of a charge under s 49(c) of the Trade Marks Act for possession of counterfeit goods.
  • Advising and representing individuals and SMEs in various debt collection matters.
  • Advising on the termination or retrenchment of employees against employers in Singapore.
  • Assisting counsel in representing various construction companies in construction disputes under the SOP Act.

Corporate

Jolene’s corporate experience includes:

  • Assisting in the drafting of loan agreements and other corporate documents for a multinational bank in connection with eight-figure secured loan facilities for the financing and/or re-financing of vessels.
  • Assisting in the drafting and review of various agreements for SMEs, including shareholders’ agreements, employment agreements, sale & purchase agreements, reseller’s agreements, website terms of use and privacy policies, as well as ensuring compliance of relevant agreements with the Personal Data Protection Act 2012 and General Data Protection Regulation.
  • Assisting in the drafting and review of consultancy agreements and potential joint venture agreements for one of Singapore’s leading main contractors.
  • Assisting in the drafting and review of payment claims and payment responses for main-contractors and sub-contractors in compliance with the SOP Act.
