Nicolas is qualified to practice law in Singapore, New York, Hong Kong and England and Wales and has worked in Asia for the last 14 years.

He commenced practice in 2002 at Drew & Napier LLC and has worked at international law firms Sidley Austin (Hong Kong), Baker McKenzie (Singapore), Allen & Overy (Singapore) and Hadiputranto Hadinoto & Partners (Indonesia). He also served as inhouse counsel to a US$6B Fortune 500 MNC’s Singapore headquarters where he was responsible for legal and compliance matters at all Singapore, Indonesian and Malaysian sites.

His main areas of practice are litigation and dispute resolution, criminal law, mergers and acquisitions, private equity, corporate finance and banking.

He has experience advising on multi-jurisdictional transactions and disputes in Singapore, Hong Kong, China, Indonesia, Malaysia, Philippines, Thailand, Vietnam, India, Japan, Korea, Taiwan, the Middle East, Australia, Europe and the United States and has negotiated for and against parties in New York, London, Silicon Valley, China, Hong Kong, Tokyo, Taipei, Seoul, Jakarta, Surabaya, Vietnam, Thailand, Myanmar, the Philippines, Kuwait, Bahrain, Saudi Arabia, the Netherlands, France, Milan and Frankfurt.

Litigation and Dispute Resolution

Nicolas has represented individuals, start-ups, SMEs, listed companies, financial institutions and MNCs in disputes all over the world.

Over the past 2 years, he has advised and represented:

  • Middle Eastern individuals in a US$280m claim against a Singapore listed company for breaches of contract, fraud and conspiracy
  • a South African company in a dispute with a Norwegian-listed company in relation to payments for services and taxes
  • a high net worth individual against a Singapore fund manager for investment losses
  • a financial advisory against an investment/asset manager for breach of confidence, conspiracy by unlawful means, and interference with contractual relations
  • a U.S. furniture company in a multi-million dollar dispute with a U.S. listed company for breach of copyright
  • Swedish lock manufacturer ASSA Abloy’s Singapore office
  • Container shipping company Maersk Line’s Singapore office
  • Taiwanese Cable TV network provider Sanlih E-Television (三立電視)
  • a minority shareholder against a Singapore company’s majority shareholders for minority oppression and breach of director’s duties
  • an Indonesian agriculture fertiliser company in relation to a shareholders’ dispute commenced in the High Court of Singapore
  • 10 criminal cases (of which 5 of them had the charges against them were withdrawn or dropped after he wrote representations to the Prosecution and/or claimed trial)
  • residential tenants against landlords in Singapore
  • retrenched employees against employers in Singapore

 

Nicolas acted for Singapore Power, in the 89-day Committee of Inquiry arising from the collapse of the tunnel for the MRT Circle Line along Nicoll Highway in 2004 and has advised Singapore MRT on potential disputes and compliance matters.

  • A state owned listed telecommunications company on its US$1 billion bid for a global telecommunications provider
  • AT&T Corp on the acquisition of IBM’s global network communication services in China, Hong Kong, Indonesia, Philippines, Malaysia and Singapore
  • 1MDB on its investment in an oil services and production company headquartered in Saudi Arabia
  • Macquarie on the sale of a group of Indonesian energy companies to a Middle Eastern government enterprise
  • Neptune Orient Lines on its potential acquisition of an international logistics group
  • An Indonesian energy company on the sale of its 51% interest in an energy company to an international energy company, valued at £112m
  • NTS Group B.V. on its acquisition of companies in Singapore and China
  • A Japanese securities company on its acquisition of a car leasing business in Indonesia
  • A NYSE listed Chinese company on its acquisition of a Chinese energy company
  • A South Korean conglomerate on its potential acquisition of Bossini International

Private Equity

Nicolas has advised on the following private equity transactions:

  • A New York private equity fund on its investment in an Indonesian hotel group
  • Morgan Stanley on its pre-IPO investment in a Chinese healthcare company
  • A Japanese TSE-listed company on its investment in an ASX-listed mining company
  • A Hong Kong private equity fund on its investment in a Singapore property company
  • A PRC energy company on the sale of shares and warrants to a Silicon Valley private equity fund
  • Indian companies on the issuance of foreign currency convertible bonds (FCCBs, listed on SGX and LuxSE) to private equity funds
  • A Singapore venture capital fund on its Series A investments in Silicon Valley software developers
  • Artradis Fund Management on its investment in a Hong Kong entity

Nicolas has advised on the following banking and finance transactions:

  • Goldman Sachs Capital Partners on a US$275m mezzanine credit agreement relating to the leveraged buy-out of an Indonesian energy company
  • Agile Property Holdings on a HK$1.6b (approx US$200m) syndicated facility with Standard Chartered Bank
  • Shimao Property Holdings on US$440m and HK$156m term loan facilities with Standard Chartered Bank
  • Evergrande Real Estate Group on its financing arrangements
  • Horizon Finance Technology Corporation on a credit and security agreement with a Hong Kong entity
  • Citigroup on the refinancing of a US$300m facility with major luxury travel retailer DFS
  • Indosat on a US$40m export credit facility with ABN AMRO
  • Spotless on its US$160m guaranteed senior note offering
